Leverage Overview

Nexstar will raise $4.5 billion of funded debt to finance the transaction

That amount will be reduced by proceeds from asset sales required by FCC

A significant majority of the financing will be placed in the secured loan market

Lower interest rates than high yield bond financing

The loan market has historically been less volatile than the high yield market

Loans can be refinanced after 6-12 months with no prepayment penalties

Leverage expected to decline rapidly due to cash flows from significant 2016 political ad revenues and

synergies(1)

Assumes ~5.5x at transaction close, decreasing to ~4.5x by year end 2017

A 100 bps change in average cost of borrowings/debt is equivalent to:

~$45 million of additional / less interest expense or ~$30 million of additional / less free cash flow

~$30 million free cash flow delta is equal to ~$0.64 of free cash flow per share (2)

(1) Leverage at close based on projected blended 2015E/2016E EBITDA and includes $76mm of synergies. 2017 leverage based on blended 2016E/2017E EBITDA and includes $76mm of synergies.

(2) Assumes approximately 47 million Nexstar Media Group shares outstanding upon completion of the transaction

Contingent Value Right (CVR) Overview

The CVR will provide Media General shareholders with the right to receive a portion of the net proceeds (if any) from

the disposition of Media General spectrum (_MEG Net Proceeds_) in the upcoming FCC broadcast incentive auction

MEG Net Proceeds will be reduced to account for the indirect benefit former Media General shareholders will receive

as shareholders of the combined company from (i) the net proceeds from the disposition of Nexstar spectrum (_NXST

Net Proceeds_) and (ii) the portion of the MEG Net Proceeds allocable to Media General shareholders ongoing

ownership in the combined company

Each of NXST and MEG Net Proceeds is calculated as: the aggregate cash payments from the FCC for the

disposition of FCC-licensed broadcast spectrum from licenses held by the respective company and its JSA/SSA

partners; minus transaction expenses; minus the amount of lost broadcast cash flow from stations that will

cease broadcasting operations times a multiple of 10.5x; minus taxes incurred (at a rate of 40%) as a result of

such sales.

The CVR will not trade nor be quoted on any stock exchange or organized financial market

The CVR will be administered by a rights agent, and depending on the timing of completion of the spectrum

auction, CVRs will be issued either by Media General prior to the closing or by Nexstar following the closing

The timing, execution and proceeds of the incentive auction is uncertain

Any incremental cash value will not be known until the spectrum auction is completed

Proceeds will be paid to Media General shareholders on a monthly basis to the extent proceeds from dispositions of

Media General station spectrum are received following completion of the spectrum auction

Example Calculation of CVR Distribution Amount

Formula for Calculation of CVR Distribution Amount

Given:

The MEG Percentage is 33.6%, representing former Media General shareholder ownership in Nexstar Media Group (1 MEG Percentage) is 66.4%, representing Nexstar Broadcasting shareholder ownership in Nexstar Media Group

(MEG Net Proceeds (MEG Percentage x Total Net Proceeds))

(1 MEG Percentage)

Illustrative Calculation of CVR Distribution Amount

Assuming that:

MEG Net Proceeds(1) = $200

NXST Net Proceeds(1) = $100

($ in millions, except per share amounts)

The Distribution Amount would equal:

$200 (.336 x $300)

.664

= $149.40

In addition, former Media General shareholders participate in 33.6% of the spectrum auction proceeds that are not distributed pursuant to the CVR (33.6% x $150.60 = $50.60) In total, former Media General shareholders hypothetically receive $200 in total economic benefit: $149.40 in cash and $50.60 in participation in the undistributed spectrum auction proceeds

$149.40 distributed in cash among 131 million MEG shares = $1.14 per MEG share

$50.60 realized in implied value

Total spectrum value = $1.53 per MEG share

(1) Each of NXST and MEG Net Proceeds is calculated as: the aggregate cash payments from the FCC for the disposition of FCC-licensed broadcast spectrum from licenses held by the respective company and its JSA/SSA partners; minus transaction expenses; minus the amount of lost broadcast cash flow from stations that will cease broadcasting operations times a multiple of 10.5x; minus taxes incurred (at a rate of 40%) as a result of such sales

The calculations above are for illustrative purposes only and do not represent any party’s expectations about the amount of proceeds that may be received in the FCC 4 spectrum auction. There can be no assurance that any proceeds will be realized under the CVRs.
