Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 18, 2018, the Board of Directors (the “Board”) of Paycom Software, Inc. (the “Company”) appointed Janet Brutschea Haugen to fill an existing vacancy on the Board. Ms. Haugen will serve as a Class I director, with a term expiring at the annual meeting of the Company’s stockholders to be held in 2020. Ms. Haugen will be entitled to receive the standard compensation package for the Company’s non-management directors, which is described in the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on March 29, 2017. The Board has not yet determined whether Ms. Haugen will serve on any committee(s).

Ms. Haugen, 59, was the senior vice president and chief financial officer of Unisys Corporation (“Unisys”), a global information technology company, from 2000 to 2016. She also held positions as vice president, controller and acting chief financial officer of Unisys between 1996 and 2000. Prior to joining Unisys, she was an audit partner at Ernst & Young. Ms. Haugen served as a member of the board of directors and chair of the audit committee of SunGard Data Systems Inc. from 2002 to 2005. She earned her bachelor’s degree in economics from Rutgers University.
