Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

Bylaws

On January 8, 2019, the Board of Directors of A10 Networks, Inc. (the “Company”) approved the adoption of Amended and Restated Bylaws of the Company (the “Amended and Restated Bylaws”), which became effective immediately. The Amended and Restated Bylaws include a new Section 9.5 that designates the Court of Chancery of the State of Delaware, or if the Court of Chancery does not have jurisdiction, the federal district court for the District of Delaware, as the sole and exclusive forum for certain legal actions, unless the Company consents in writing to the selection of an alternative forum. The foregoing description of the Amended and Restated Bylaws does not purport to be complete and is qualified in its entirety by reference to the Amended and Restated Bylaws, which are filed herewith as Exhibit 3.2 and are incorporated by reference herein.
