Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 18, 2019, Thompson S. Baker, II was appointed to the newly created position of Chief Operating Officer of Vulcan Materials Company (the “Company”), effective May 1, 2019. Mr. Baker, age 60, has served as the Company’s Senior Vice President since March 2017, responsible for several operating divisions. He also served in a number of other positions with the Company, including President – Florida Rock Division, prior to serving as Chief Executive Officer of FRP Holdings, Inc. from October 2010 to March 2017 and President and Chief Executive Officer of Patriot Transportation Holding, Inc. from December 2014 to March 2017. Information with respect to Mr. Baker’s compensation arrangement with the Company and information required by Item 404(a) of Regulation S-K are included in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on March 25, 2019.
