Regulation FD Disclosure.

On May 1, 2019, Annaly Capital Management, Inc. (the “Company”) issued a press release (the “Press Release”) announcing the redemption of all of the issued and outstanding shares of 8.125% Series H Cumulative Redeemable Preferred Stock, par value $0.01 per share (the “Series H Preferred Stock”), as more specifically set forth under Item 8.01 of this Current Report on Form 8-K. The Company hereby furnishes the information set forth in the Press Release attached hereto as Exhibit 99.1, which is incorporated herein by reference.

The Press Release is being furnished pursuant to Item 7.01, and the information contained therein shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

Other Events.

On May 1, 2019, the Company announced that it will redeem all 2,200,000 of its outstanding shares of Series H Preferred Stock at a redemption price per share of Series H Preferred Stock of $25.00 plus accumulated and unpaid dividends per share to, but not including, the redemption date of May 31, 2019.
