Common Stock held in the name of Schwab Charitable Fund, Lawrence S. Hershfield Donor, Tammy L. Hershfield Donor. Reporting Person does not have any voting or investment power over, or any pecuniary interest in, such shares, and is not the beneficial owner of such shares.
