On February 2, 2009, the Compensation Committee (the "Committee") of the Board of Directors of Brush Engineered Materials Inc. (the "Company") took the following actions:

Annual Performance Compensation Plan for 2009

The Committee approved the 2009 Management Performance Compensation Plan (the "MPC Plan"). This plan provides for annual, single-sum cash payments that are based on achieving pre-established operating profit and return on invested capital financial objectives and qualitative performance factors. The 2009 MPC Plan is being filed as Exhibit 10.1 to this Form 8-K and is incorporated herein by reference.
