PepsiCo, Inc. grants various awards to its executive officers under the shareholder-approved PepsiCo, Inc. 2007 Long-Term Incentive Plan. The form of annual long-term incentive award agreement pursuant to which the executive officers received their 2010 annual long-term incentive awards on April 12, 2010 is attached hereto as an exhibit and is hereby incorporated by reference.
