Item 8.01 Other Events.

On April 20, 2010, the shareholders of Erie Indemnity Company (the "Company") elected 13 nominees to serve as Directors of the Company for a one year term. The individuals elected are detailed in the press release attached as Exhibit 99.1.

Additionally, the Board approved a continuation of the stock repurchase program to repurchase up to $100 million of the Company's outstanding Class A common stock through June 30, 2011, including and not in addition to any unspent amounts remaining under the current program. See the press release attached as Exhibit 99.1.
