Item 7.01 Regulation FD Disclosure.
On August 8, 2018, WSFS Financial Corporation (“WSFS”) released a presentation to investors about the Transaction (as defined below). The presentation is attached hereto as Exhibit 99.1 and incorporated herein by reference.

Item 8.01 Other Events.
On August 8, 2018, WSFS and Beneficial Bancorp, Inc. (“Beneficial”) issued a joint press release announcing that WSFS and Beneficial have entered into an Agreement and Plan of Reorganization pursuant to which Beneficial will merge with and into WSFS (the “Transaction”). The joint press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
