Item 8.01 Other Events.
On October 23, 2018, Science Applications International Corporation (“SAIC”) and Engility Holdings, Inc. (“Engility”) issued a joint press release announcing the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”). The termination is effective as of 11:59 p.m. EST on October 22, 2018, thereby ending the HSR Act waiting period for the proposed acquisition of Engility by SAIC. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
