Item 4.01 Changes in Registrant’s Certifying Accountant.
 
On February 1, 2012, Consolidated-Tomoka Land Co. (the “Company”), upon  approval of its Audit Committee, notified its current independent registered public accounting firm, KPMG LLP (“KPMG”), that KPMG will be dismissed effective upon completion of their audit of the Company’s consolidated financial statements for the year ended December 31, 2011 and the effectiveness of internal control over financial reporting as of December 31, 2011, and the issuance of their reports thereon. The Company is in the process of selecting KPMG’s replacement and will report the engagement of a successor independent registered public accounting firm in a subsequent Current Report on Form 8-K.
 
The audit reports of KPMG on the Company’s consolidated financial statements for the fiscal years ended December 31, 2010 and 2009, did not contain any adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles. The audit reports of KPMG on the effectiveness of internal control over financial reporting as of December 31, 2010 and 2009 did not contain any adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting principles.
 
There were no disagreements between the Company and KPMG on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure during the fiscal years ended December 31, 2010 and December 31, 2009 and the subsequent interim periods through February 1, 2012 that, if not resolved to KPMG’s satisfaction, would have caused KPMG to make reference to the subject matter of the disagreement in connection with their opinion for such periods, and, during such periods, there were no “reportable events,” as that term is defined in Item 304 of Regulation S-K and the related instructions to Item 304 of Regulation S-K.
 
The Company provided KPMG with a copy of the preceding disclosures. A letter from KPMG, dated February 6, 2012, is attached hereto as Exhibit 16.1.
