(b) On December 19, 2017, Kay Coles James provided The PNC Financial Services Group, Inc. with notice of her intention to resign from the Board of Directors effective following the February 15, 2018 meeting of the Board due to a change in Ms. James’ principal occupation. Ms. James has served on the Board since 2006.
