(1) | 10,000 shares of Mr. Stenson's restricted stock vested on March 31, 2013 upon the Corporation's achievement of certain performance objectives related to business volume and portfolio charge-offs and delinquencies, as specified in the related award agreement. The Corporation retained 4,310 shares to satisfy tax withholding requirements. |
(2) | In accordance with a policy adopted by the Compensation Committee of the Corporation's Board of Directors, the price used for the calculation of the number of shares withheld by the Corporation in satisfaction of tax liability is the closing price of the Corporation's Class C Non-Voting Common Stock on the last trading day before the vesting date. |
