Item 2.02.    Results of Operations and Financial Condition
 
On February 11, 2015, ION Geophysical Corporation (the “Company”) issued a press release containing information regarding the Company’s results of operations for the quarter and year ended December 31, 2014. A copy of the press release is furnished as Exhibit 99.1 hereto.

In conjunction with the above press release, the Company has scheduled a conference call, which will be broadcast live over the Internet, for Thursday, February 12, at 10:00 a.m. Eastern Time (9:00 a.m. Central).
