Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
    Dr. John W. Palmour, who presently serves as the Executive Vice President – Advanced Devices of Cree, Inc. (the "Company"), has accepted appointment as its Chief Technology Officer – Advanced Devices effective September 28, 2008.  His service as an executive vice president of the Company will end on this date.  He will continue to serve as a member of the Board of Directors and is standing for re-election at the Company's 2008 Annual Meeting of Shareholders on October 30, 2008.
