Item 2.02
Results of Operations and Financial Condition
 
On August 11, 2009, Cree, Inc. (the “Company”) issued a press release announcing results for the fiscal quarter and year ended June 28, 2009.  The press release is attached as Exhibit 99.1 and incorporated into this report by reference.
 
The information in this Item 2.02, including exhibit 99.1, shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liability of that section.  Furthermore, the information in this report shall not be deemed incorporated by reference into the filings of the Company under the Securities Act of 1933, as amended.

Other Events

On June 18, 2009, the board of directors of Cree, Inc. (the “Company”) approved the extension of the Company’s stock repurchase program through June 27, 2010. The stock repurchase program was authorized on April 27, 2005, and as extended on May 15, 2008, the Company had been authorized to repurchase up to 5,000,000 shares of common stock. As of June 18, 2009, 4,467,313 shares remained available for purchase under the repurchase program. The Company expects to use available cash to finance purchases under the program.  The repurchase program can be implemented through open market or privately negotiated transactions at the discretion of the Company’s management. The Company will continue to determine the time and extent of any repurchases based on its evaluation of market conditions and other factors.
