Mitarotonda, the Chairman and Chief Executive Officer of Barington Capital Group, L.P., and George E. Hall, the Chairman and Chief Executive Officer of Clinton Group, Inc., sent a letter to Robert C. Connor, Peter R. Johnson and Warren A. Stephens, who are the independent Class B directors of the Company. Among other things, the letter calls upon the independent Class B directors to work with the Board's Class A directors to immediately begin the process of looking for a new chief executive officer. The letter notes the Reporting Entities' belief that the future of the Company rests in the hands of the three independent Class B directors, as, together with the Class A directors, they have the power and authority to make changes desperately needed at the Company.
