Ultradata Systems, Incorporated is unable to file its quarterly report on Form
10-QSB within the prescribed time because recent reductions in staff led to
delays in completing the necessary bookkeeping procedures.

The earnings statement for the Third Quarter of 2001 is expected to show the
following changes in results of operations compared to the Third Quarter of
2000. The changes were the result, in part, of inventory write-offs in
excess of $500,000 taken in the third quarter of 2001.
