On October 19, 2004 the Registrant issued a press release, attached hereto as
Exhibit 99.1, announcing that Institutional Shareholder Services ("ISS"), a
national proxy advisory firm, recommended that the Registrant's shareholders
vote "FOR" the election of management's slate of directors and ratification of
the appointment of independent auditors.
