Item 8.01 Other Events
     On September 29, 2009, PowerSecure International, Inc., a Delaware corporation (the “Company”), issued a press release announcing that it had been awarded approximately $12 million of new orders, including orders for its smart grid power systems and for its new utility infrastructure projects. A copy of the Company’s press release containing this announcement is filed herewith as Exhibit 99.1 and incorporated herein by this reference.
     The press release filed herewith as Exhibit 99.1 contains forward-looking statements relating to the Company’s future performance made within the meaning of and pursuant to the safe harbor provisions of the Private Securities Litigation Reform Act of 1995.
