Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The following disclosure is provided pursuant to subsection (e) of Item 5.02 of Form 8-K.

     On March 10, 2010, the Compensation Committee of the Board of Directors of Gen-Probe Incorporated (the “Company”) awarded a discretionary cash bonus in the amount of $150,000 to Henry L. Nordhoff for his service as Chief Executive Officer of the Company from January 1, 2009 to May 17, 2009 and in appreciation of his many years of service to the Company. Mr. Nordhoff retired from his position as Chief Executive Officer on May 17, 2009 and now serves as Chairman of the Company’s Board of Directors.
