EXPLANATORY NOTE
Esterline Technologies Corporation (also referred to as the “Company,” “we,” or “our”) is filing this Amendment No. 1 (the “Amendment No. 1”) to our Form 10-K for the fiscal year ended October 28, 2005 (the “Form 10-K”), originally filed with the Securities and Exchange Commission on January 6, 2006, for the purpose of amending the cover page to indicate whether we are a "shell company" and including certain information required by Item 5 of Part II of Form 10-K, both of which were inadvertently omitted. We are also updating the signature page, the Exhibit Index referenced in Item 15 of Part IV and Exhibits 31.1 and 31.2.
Pursuant to Rule 12b-15 under the Securities Exchange Act of 1934, as amended, the complete text of Item 5 of Part II, as amended, is set forth below. This Amendment No. 1 speaks as of the original filing date of the Form 10-K and reflects only the changes to the cover page, Item 5 of Part II and Item 15 of Part IV discussed above. No other information included in the Form 10-K, including the information set forth in our financial statements and the footnotes thereto, has been modified or updated in any way.

No cash dividends were paid during fiscal years 2005 and 2004. We currently intend to retain all future earnings for use to expand the business and retire debt. We are restricted from paying dividends under our current debt instruments and do not anticipate paying any dividends in the foreseeable future.
On January 4, 2006, there were 536 holders of record of our common stock.
The principal market for our Common Stock is the New York Stock Exchange.
