(e)		Compensatory Arrangements of Certain Officers.

     On January 16, 2008, the Compensation Committee of the Board of Directors of Valero Energy Corporation (the “Company”) approved an increase to the annual base salary for Michael S. Ciskowski, the Company’s Executive Vice President and Chief Financial Officer. The new base salary for Mr. Ciskowski is $700,000.
