Item 2.02 Results of Operations and Financial Condition.

      On May 4, 2005, Gen-Probe Incorporated issued a news release announcing its financial results for the fiscal quarter ended March 31, 2005. A copy of this news release is attached hereto as Exhibit 99.1.
