EXPLANATORY NOTE
          We are a New Jersey corporation formerly named Virginia Holdco, Inc. Unless otherwise stated or the context otherwise requires, references in this registration statement to “Vulcan,” “we,” “our,” or “us” refer to Vulcan Materials Company and its consolidated subsidiaries. We entered into an Agreement and Plan of Merger, or the merger agreement, dated as of February 19, 2007, as amended on April 9, 2007, with Legacy Vulcan Corp., a New Jersey corporation formerly named Vulcan Materials Company (“Legacy Vulcan”), Florida Rock Industries, Inc., a Florida corporation (“Florida Rock”), Virginia Merger Sub, Inc. and Fresno Merger Sub, Inc. Pursuant to the merger agreement, on November 16, 2007, our newly created wholly-owned subsidiary, Virginia Merger Sub, Inc., merged with and into Legacy Vulcan (the “Vulcan merger”), and our newly created wholly-owned subsidiary, Fresno Merger Sub, Inc., merged with and into Florida Rock (the “Florida Rock merger”). As a result of the Vulcan merger and the Florida Rock merger, each of Legacy Vulcan and Florida Rock became our wholly-owned subsidiaries. These mergers are referred to in this registration statement as the “mergers.” Pursuant to the mergers, the existing shareholders of Legacy Vulcan and Florida Rock became our shareholders. As a result of the mergers, each Legacy Vulcan shareholder received one share of our common stock for each outstanding share of common stock of Legacy Vulcan held and 30% of the outstanding shares of Florida Rock common stock were each converted into the right to receive 0.63 shares of our common stock. In addition, after the consummation of the transactions contemplated by the merger agreement, our name was changed from Virginia Holdco, Inc. to Vulcan Materials Company, and Legacy Vulcan’s name was changed from Vulcan Materials Company to Legacy Vulcan Corp.

          This prospectus relates to the resale of up to 798,859 shares of our common stock by the selling shareholder identified in this prospectus. The shares that may be resold by the selling shareholders pursuant to this prospectus were originally issued by us to the selling shareholder in connection with our entry into an asset purchase agreement to acquire substantially all of the assets of Elmer Larson, L.L.C., an Illinois limited liability corporation (“Elmer Larson”), and certain assets of MSJ Larson, Inc., an Illinois corporation (“MSJ”). The selling shareholder is serving as an exchange accommodation titleholder in connection with a Section 1031 exchange under the Internal Revenue Code.
          The selling shareholder identified in this prospectus may sell the shares from time to time on terms to be determined at the time of sale through ordinary brokerage transactions or through any other means described in this prospectus under “Plan of Distribution.” The selling shareholder may sell the shares in public transactions or in privately negotiated transactions, without limitation, at prevailing market prices, at prices related to the prevailing market prices, or at negotiated prices or at fixed prices.
          The selling shareholder will receive all of the net proceeds from the sales of the shares of our common stock. We will pay all selling commissions, if any, applicable to the sale of the shares of our common stock. We will not receive any proceeds from the sale of the shares. However, in the event that the selling shareholder is unable to sell the shares during the time period between the issuance of the shares and the closing of the transactions contemplated by the Purchase Agreement, such that the full amount of the anticipated net proceeds of such sales are not available on the closing date to satisfy the $55.8 million purchase price obligation under the Purchase Agreement, we expect to loan to the selling shareholder (the “EAT Loan”) funds equal to the difference between the net proceeds and $55.8 million, and that the proceeds of any such loan will be used to satisfy obligations under the Purchase Agreement. Legacy Vulcan
     Legacy Vulcan Corp. is a New Jersey corporation incorporated in 1956 and is the nation’s largest producer of construction aggregates and a major producer of asphalt mix and concrete. Legacy Vulcan’s construction materials business produces and sells aggregates—primarily crushed stone, sand and gravel—that are used in nearly all forms of construction. In particular, large quantities of aggregates are used to build roads and nonresidential infrastructure.
Florida Rock
     Florida Rock, a Florida corporation incorporated in 1945, is one of the nation’s leading producers of construction aggregates, a major provider of ready-mix concrete and concrete products in the Southeastern and mid-Atlantic states and a significant supplier of cement in Florida and Georgia. Florida Rock is engaged in the mining, processing, distribution and sale of sand, gravel and crushed stone, the production of ready-mix concrete and concrete products, as well as the sales of other building materials, the production and sales of Portland and masonry cement, the importation of cement and slag and the sale of calcium products to the animal feed industry.

The Offering
     The shares of common stock offered under this prospectus and any supplement were issued to such shareholder in a private placement pursuant to a planned Section 1031 reverse exchange under the Internal Revenue Code in connection with that certain Asset Purchase Agreement dated March 4, 2008 (the “Purchase Agreement”), by and among Florida Rock Industries, Inc., Elmer Larson, MSJ and Michael D. Larson, Stephen Larson and John Larson, as owners of Elmer Larson and MSJ.
     The selling shareholder assumed our obligations under the Purchase Agreement. We issued 798,859 shares of our common stock, par value $1.00 per share to fund the purchase of the Elmer Larson and MSJ assets by the selling shareholder, as exchange accommodation titleholder. We agreed to register the shares for public resale by the selling shareholder. In the event the net proceeds from the sale of the shares are not sufficient to fund the purchase price under the Purchase Agreement in full, we are obligated to loan the selling shareholder additional funds to complete the acquisition.
     We are not selling any securities under this prospectus or any supplements and will not receive any of the proceeds from the sale of shares by the selling shareholder.

     The mergers involve the integration of two companies that previously have operated independently, each with its own business, customers, employees, culture and systems. In addition, we must achieve these savings without adversely affecting revenues.      The integration process and other disruptions from the transaction could be more costly than we expect or result in the loss of key employees, the disruption of each company’s ongoing businesses or inconsistencies in standards, controls, procedures and policies that adversely affect our ability to maintain relationships with customers, suppliers, employees and others with whom we have business dealings or to achieve the anticipated benefits of the mergers. Many of these difficulties are outside of our control and any one of them could result in increased costs, decreases in the amount of expected revenues and diversion of management’s time and energy, which could materially impact our business, financial condition and results of operations.
Integrating Legacy Vulcan and Florida Rock may divert management’s attention away from our operations.
     Successful integration of Legacy Vulcan’s and Florida Rock’s organizations, procedures and operations may place a significant burden on our management and its internal resources. The integration efforts could divert management’s focus and resources from other strategic opportunities and from operational matters during the integration process.
Our incurrence of additional debt to pay the cash portion of the merger consideration significantly increased our interest expense, financial leverage and debt service requirements.
     We entered into $4.0 billion of new credit facilities in connection with the mergers, and borrowed $3.35 billion under such credit facilities in order to acquire 70% of the outstanding shares of Florida Rock common stock, cash settle Florida Rock stock options outstanding immediately prior to the effective time of the mergers and finance Vulcan’s transaction costs. Incurrence of this new debt significantly increased our leverage. There may be circumstances in which required payments of principal and/or interest on this new debt could adversely affect our cash flows and operating results.
     There are various financial covenants and other restrictions in our debt instruments. If we fail to comply with any of these requirements, the related indebtedness (and other unrelated indebtedness) could become due and payable prior to its stated maturity. A default under our debt instruments may also significantly affect our ability to obtain additional or alternative financing.
     Our ability to make scheduled payments or to refinance our obligations with respect to indebtedness will depend on our operating and financial performance, which in turn is subject to prevailing economic conditions and to financial, business and other factors beyond our control.
The costs of the mergers could adversely affect our operating results.
     In connection with the mergers, we incurred certain costs, consisting of employee benefit costs,

investment banking, legal and accounting fees and financial printing and other related charges. In addition, the combined company will incur certain expenses in connection with the integration of Legacy Vulcan’s and Florida Rock’s businesses, particularly relating to the management information systems.
The slow recovery in housing construction and the collapse of the subprime mortgage market could continue to affect negatively our volumes.
     In some of our markets, particularly Florida, sales volumes have been negatively impacted by the collapse of the subprime mortgage market and the severe slowdown in housing construction. Our sales volumes and earnings could continue to be depressed and negatively impacted by this segment of the market until these slowdowns in housing construction improve.

     We will not receive any proceeds from the sale of shares of our common stock by the selling shareholder. The selling shareholder will pay any expenses incurred by the selling shareholder for accounting, tax or legal services incurred by the selling shareholder in disposing of the shares. SELLING SHAREHOLDERS
     We issued the shares of our common stock that we are registering for resale by this prospectus in connection with our acquisition of substantially all of the assets of Elmer Larson and certain assets of MSJ. In connection with the acquisition, we entered into an agreement with the selling shareholder to assign our rights under the Purchase Agreement in order to have the acquisition qualify as a Section 1031 reverse exchange under the Internal Revenue Code. We issued to the selling shareholder an aggregate of 798,859 shares of our common stock, and agreed to register for resale 798,859 shares of our common stock offered by the selling shareholder in this prospectus. This prospectus covers, among other things, the offer and sale by the selling shareholder listed below of up to the total number of shares of common stock issued to the selling shareholder. However, in the event that the selling shareholder is unable to sell the shares during the time period between the issuance of the shares and the closing of the transactions contemplated by the Purchase Agreement, such that the full amount of the anticipated net proceeds of such sales are not available on the closing date to satisfy the $55.8 million purchase price obligation under the Purchase Agreement, we expect to loan to the selling shareholder (the “EAT Loan”) funds equal to the difference between the net proceeds and $55.8 million, and that the proceeds of any such loan will be used to satisfy obligations under the Purchase Agreement. The number and percentage of outstanding shares of common stock beneficially owned after the offering assumes that all of the shares of our common stock being offered by the selling shareholder are sold and assumes that no additional shares of our common stock are purchased by the selling shareholder prior to the completion of this offering.

ITEM 15. INDEMNIFICATION OF DIRECTORS AND OFFICERS.
     Section 14A:3-5 of the New Jersey Business Corporation Act empowers a New Jersey corporation to indemnify present and former directors, officers, employees or agents of the corporation and certain other specified persons. Article IV of the By-Laws of the Registrant provides as follows:

  (iii)   any person who is or was serving at the request of the corporation, or any partnership, joint venture, sole proprietorship, trust, employee benefit plan or other enterprise, whether or not for profit; and
 
  (iv)   the legal representative of any of the foregoing persons (collectively, a “Corporate Agent”).
     (b) Anything herein to the contrary notwithstanding, the corporation shall not be obligated under this Article IV to provide indemnification (i) to any bank, trust company, insurance company, partnership or other entity, or any director, officer, employee or agent thereof or (ii) to any other person who is not a director,

     (c) To the extent that any right of indemnification granted hereunder requires any determination that a Corporate Agent shall have been successful on the merits or otherwise in any Proceeding (as hereinafter defined) or in defense of any claim, issue or matter therein, the Corporate Agent shall be deemed to have been “successful” if, without any settlement having been made by the Corporate Agent, (i) such Proceeding shall have been dismissed or otherwise terminated or abandoned without any judgment or order having been entered against the Corporate Agent, (ii) such claim, issue or other matter therein shall have been dismissed or otherwise eliminated or abandoned as against the Corporate Agent, or (iii) with respect to any threatened Proceeding, the Proceeding shall have been abandoned or there shall have been a failure for any reason to institute the Proceeding within a reasonable time after the same shall have been threatened or after any inquiry or investigation that could have led to any such Proceeding shall have been commenced. The Board of Directors or any authorized committee thereof shall have the right to determine what constitutes a “reasonable time” or an “abandonment” for purposes of this paragraph (c), and any such determination shall be conclusive and final.
     (d) To the extent that any right of indemnification granted hereunder shall require any determination that the Corporate Agent has been involved in a Proceeding by reason of his or her being or having been a Corporate Agent, the Corporate Agent shall be deemed to have been so involved if the Proceeding involves action allegedly taken by the Corporate Agent for the benefit of the corporation or in the performance of his or her duties or the course of his or her employment for the corporation.
     (e) If a Corporate Agent shall be a party defendant in a Proceeding, other than a Proceeding by or in the right of the corporation, and the Board of Directors or a duly authorized committee of disinterested directors shall determine that it is in the best interests of the corporation for the corporation to assume the defense of any such Proceeding, the board of Directors or such committee may authorize and direct that the corporation assume the defense of the Proceeding and pay all expenses in connection therewith without requiring such Corporate Agent to undertake to pay or repay any part thereof. Such assumption shall not affect the right of any such Corporate Agent to employ his or her own counsel or to recover indemnification under this By-law to the extent that he may be entitled thereto.
     (f) As used herein, the term “Proceeding” shall mean and include any pending, threatened or completed civil, criminal, administrative or arbitrative action, suit or proceeding, and any appeal therein and any inquiry or investigation which could lead to such action, suit or proceeding.
     (g) The right to indemnification granted under this Article IV shall not be exclusive of any other rights to which any Corporate Agent seeking indemnification hereunder may be entitled.
     (h) The registrant maintains directors and officers liability insurance which insures against liabilities that directors and officers of the registrant may incur in such capacities.
     In addition, the merger agreement provides that Vulcan will, to the fullest extent permitted by law, indemnify and hold harmless, and provide advancement of expenses to, all past and present officers, directors and employees of Florida Rock and its subsidiaries. Florida Rock has entered into indemnification agreements with each of its directors and officers that require Florida Rock to indemnify and advance expenses to such indemnitees to the fullest extent permitted by Florida law.
