On December 15, 2005, The Fairchild Corporation issued a press release announcing that it has filed for an extension of time to file the Company’s annual report on Form 10-K for the year ended September 30, 2005. The Company indicated that the Form 10-K will be filed with the Securities and Exchange Commission no later than December 29, 2005. A copy of the press release is attached hereto as Exhibit 99.1, and is hereby incorporated by reference.
