The company’s board of directors has also made the same recommendation. The company noted that voting for the proposal doesn’t ensure that the newly authorized shares will be issued, it only makes the shares available if they are needed to fund opportunities such as corporate acquisitions, public or private offerings of equity securities, and attracting and retaining top talent. The company also noted that the proxy voting deadline is Nov. 16, 2022, at 11:59 p.m. ET. The actual Special Meeting is slated to start at 9 a.m. ET on Nov. 17, 2022.
