EnviroGold Announces Commencement of Pilot Program on Hellyer Tailings with ALS Perth, and Shares for Debt Transaction

TORONTO, Jan. 03, 2023 (GLOBE NEWSWIRE) -- EnviroGold Global Limited (CSE: NVRO | OTCQB: ESGLF |FSE: YGK) (“EnviroGold Global” or the “Company”), a Clean Technology Company accelerating the world’s transition to a circular-resource economy, is commencing a pilot program (the “Program”) to optimize its patent-pending process’ application to the Hellyer Tailings Reprocessing Project (the “Process”). Results of Phase 1 are expected in early Q1 2023 and will be a key milestone to deploying a full-scale pilot program as a precursor to plant engineering and construction at Hellyer. The Program is intended to optimize the Process’ effectiveness and efficiency through bench scale and larger-scale pilot plant optimization. The Program will establish the maximum metal extraction achievable from tailings, producing precious metals doré, copper and zinc products, and confirm baseline reagent requirements. The Program will also elicit data necessary for economic validation and engineering design, as well as demonstrate the neutralization of the waste product (from acid-forming pyrites to inert goethite and scorodite precipitation), thereby demonstrating the significant environmental benefits.

Separately, the Company’s board of directors has approved the settlement of US$231,835 in debt (the “Debt Settlement”) through the issuance of 1,448,970 common shares (“Shares”) of the Company to Anderson Creagh Lai (the “Creditor”) for general legal fees. The Creditor is a "Non-Arm's Length Party” of the Company, a legal firm for which Phil Creagh (a director of the Company) is a partner and a shareholder.

The Shares have been issued at a deemed price of $0.21 per Share and the Company has relied upon section 2.24 of National Instrument 45-106 for the Issuance of the Shares without a statutory hold period. The Company agreed to satisfy this outstanding indebtedness with Shares to preserve the Company’s cash. None of the securities issued in connection with the private placement have been registered under the United States Securities Act of 1933, as amended (the "1933 Act"), and none of them have been offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the 1933 Act. The Debt Settlement is exempt from the valuation and minority shareholder approval requirements of Multilateral Instrument 61-101 (“MI 61-101”) by virtue of the exemptions contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 in that the fair market value of the consideration for the securities of the Company to be issued to the Creditor does not exceed 25% of its market capitalization.
